Playmaker's acquisition of SuperPoker adds a team of more than 15 experienced sales and gambling content members based in São Paulo, Brazil.
SuperPoker is the official Portuguese-language streaming platform for the Brazilian Series of Poker (BSOP), the European Poker Tour, the Pokerstars Players' Championship, the World Series of Poker - Brazil Circuit, and Pan-American Poker. Tour (PAPT).
Playmaker's wholly owned subsidiary, Futbol Sites, with a market-leading audience and business operations throughout the Latin American region, will manage SuperPoker's day-to-day operations and its suite of products.
SuperPoker generates 15 million annual visits and 1.25 million unique annual users across all of its properties, and is one of the most popular poker media groups in the world. Monetization efforts for SuperPoker assets will be transferred to Playmaker Bench, Playmaker's proprietary monetization technology tool.

Igor Trafane founded SuperPoker and owns several assets related to poker and gambling in Brazil, including H2 Club, BSOP, PAPT and Flush Tour. Trafane was the founder and first President of the National Poker Federation of Brazil, and is the current President of the Pan American Poker Confederation. Igor will continue working with the Futbol Sites team to support and grow his presence in the Brazilian market.

Details of the transaction
Pursuant to the terms of a purchase agreement dated November 3, 2021, Playmaker acquired 100% of Spkr Midias E Eventos Ltda. And Editora Flop Ltda for a total consideration of up to US$ 4.25 million.
The purchase price consideration consisted of a payment of US$ 1.75 million in cash, the issuance of US$ 1.5 million of common Playmaker shares (the "Playmaker Shares") to the Canadian dollar equivalent of CAD $ 0.68 per Playmaker Share, and up to a maximum of US$ 1 million in winnings, payable to sellers when SuperPoker reaches certain revenue targets during the two-year period after closing. Additionally, sellers are eligible to receive a commission bonus based on sales in excess of $ 0.8 million.
