Santa Casa de Lisboa and Banco de Brasília sign joint venture to operate DF lottery

Banco de Brasília (BRB) announced to the Securities and Exchange Commission (CVM) the formation of a joint venture with Santa Casa de Misericórdia de Lisboa to explore the lottery game business in the Federal District. The operation will be shared through a company to be controlled by BRB.

In accordance with Resolution No. 44, of the Securities and Exchange Commission, Banco de Brasília S/A (BRB) communicated to its shareholders and the market in general that, “in line with its strategic planning and in continuity with what is informed through the Relevant Facts documents published on June 13 and November 9, 2022, signed, on the present date, the binding documents related to the formation of a strategic partnership with the vehicle of Santa Casa da Misericórdia de Lisboa (SCML) with the objective of jointly exploring (through a corporate joint venture) the business of lottery games, under the terms of District Law No. 7,155/22 (“Partnership”).”

In 2022, Law 7,155 created the Federal District Lottery and granted Banco Regional de Brasília the management of the lottery operation in the Brazilian capital, and Banco BTG Pactual was responsible for the process of choosing a partner with technical competence to explore lottery modalities in the District Federal.

Now, the BRB announces that Santa Casa da Misericórdia de Lisboa (SCML), created in 1498, having started operating lotteries in 1783, has been selected. SCML is currently one of the most traditional lottery operators in the world, with around 5,000 points of sale in Portugal and other countries.

The choice was made after BTG Pactual evaluated the main global lottery players, especially those associated with the World Lottery Association.

In the Relevant Fact sent to CVM, BRB highlights: “BRB and SCML are confident in the success of the Partnership, which will be based on the shared operation of the lottery business through a corporate vehicle to be controlled by BRB, whose constitution is subject to the approval from regulatory bodies.

After approval of the joint venture by the capital market and the Central Bank, a study will be carried out on the operating model and negotiations for the implementation of the Federal District Lottery and the way in which the two companies will work together in the joint venture that will be led by BRB in the company to be constituted for the operation (BRB Loterias).
