Banese selects consortium formed by Culloden and TSA to operate lotteries in Sergipe

The Banco do Estado de Sergipe (Banese) has selected the consortium formed by Culloden Participações and TSA Informática to operate the state lottery. From now on, the process will move on to the negotiation phase, which includes due diligence and discussion of corporate instruments to jointly operate the business. The contract provides for passive, forecast (specific, numerical and sports), instant and fixed-quota modalities, in physical and digital media.

Banese will keep its shareholders and the market informed about the developments of the initial negotiation stage, whose constitution of the corporate joint venture is subject to approval by regulatory agencies,” informs the bank.

Banese will continue to inform its shareholders and the market about the progress of the negotiations, in accordance with the regulations of the Securities and Exchange Commission (CVM). The operation is part of the bank's strategy to diversify its activities and explore new growth opportunities in the Sergipe market.

To implement the lottery, the law determines that the bank may choose to create a subsidiary, a holding company or participate in a corporate structure to operate such services. The supervision of these new services will be the responsibility of the Regulatory Agency for Public Services of the State of Sergipe (Agrese).

In March of this year, the Legislative Assembly of Sergipe approved Bill 77/2023, which authorizes Banese to plan, organize and operate the public lottery service, on behalf of the State Executive Branch. The proposal aims to raise funds to be applied to social, cultural and environmental actions.

Author of the proposal that proposed to the State Government the regulation of the public lottery service in Sergipe, the state deputy on leave and current Secretary of State-Chief of the Civil House, Jorginho Araujo, explained that another law (8.902/2021) already established the right of the state to adopt initiatives to enable its respective provision of lottery services at its own discretion.

In September 2020, the STF understood that the exclusive exercise, by the Union, of lottery activities was unconstitutional. The former monopoly can now be exercised concurrently by the States, with them being responsible for managing their own lotteries, applying the same rules already used by the Union,” highlighted Jorginho Araujo.

In May, Banese launched the Expression of Interest Procedure (PMI) 04/2024 in the search for a partner to explore and operate lotteries. The contract will last 20 years and includes passive, forecast (specific, numerical and sports), instant and fixed-odds options, in physical and digital formats.

At the end of July, the Banco do Estado de Sergipe began analyzing the proposals received in the PMI and on Monday (2), indicated the option for the consortium formed by Culloden Participações and TSA Informática to advance to the negotiation phase, which includes due diligence and discussion of corporate instruments, to jointly explore and operate the lottery business in the state.

The decision was based on a competitive process conducted by PwC, which evaluated the candidates' proposals.
